ORDER FORM

This Order Form is made between MDBee, Inc. (“we”, “us”, “our”, or “DentalBee”), and the customer listed above (“you” or “your”). You and DentalBee agree as follows:

1. Master Agreement.
By executing this Order Form, you agree to be bound by the terms of the Master Agreement (the “Agreement”) found here:[www.dentalbee.ai/master-service-agreement-msa] This Order Form is incorporated into and forms a part of the Agreement. Capitalized terms used but not defined in this Order Form will have the meaning given in the Agreement.

2. Description.
The Platform automates documentation, with hands-free notetaking, Perio Charting, and the ability to generate real-time detailed documentation to improve patient records, ensure compliance, and streamline insurance claims boosting efficiency and increasing production. The Platform use sophisticated machine learning algorithms and artificial intelligence.

3. Pilot.
For a period of 30 days from the Effective Date of Free trial activated on the DentalBee account (the “Pilot Period”), DentalBee will provide you with free access to the Platform for all Workstations and locations under the organization with pre-defined limits noted in the application around recording hours.

4. Subscription.
In order to access DentalBee, you may be required to pay a subscription fee as published on our website, DentalBee [www.dentalbee.ai/pricing], or on the listed subscription price on Customers Account Portal under Account Billing, or as otherwise agreed with you (Subscription Fee) for your chosen subscription period (Subscription Period). All fee amounts are in U.S. dollars unless otherwise indicated.

Subscription Fees (including any required taxes) are payable in advance for the relevant Subscription Period and DentalBee may terminate your Account and these Terms where you have not paid the relevant Subscription Fees, or where the Subscription Period has expired.

DentalBee may vary the Subscription Fee on reasonable advance notice with such varied Subscription Fee to apply at the commencement of your next Subscription Period.

Your subscription will automatically renew at the end of the applicable Subscription Period, unless you cancel your subscription before the end of the then-current Subscription Period. The cancellation will take effect the day after the last day of the then-current Subscription Period. DentalBee does not provide refunds or credits for any partial Subscription Period, except as expressly stated in these Terms.

The Customer may procure and use its own microphones or other compatible hardware in connection with the DentalBee Service. Alternatively, upon request, DentalBee can provide implementation services and support, which may include ordering microphones and related equipment on the Customer’s behalf. Any such hardware and associated implementation services will be treated as additional services and may be subject to separate fees, as specified in the applicable Order Form or invoice.

You further agree that your access to and use of new or updated functions may be subject to additional fees which will be agreed between us before your access and use. Subject to the termination process defined in Section 3 of this Order Form, you agree to purchase a recurring subscription to the Platform at the end of the Pilot Period, on a monthly or annual basis, on the terms, conditions, and pricing described below. Notwithstanding anything else in this Order Form or the Agreement: (1) no fees will apply, except for any Pilot Use Fee if specified above, (2) the Platform is provided “AS IS” and no warranty obligations of DentalBee will apply, (3) if Customer has selected monthly access to the Platform, Customer may terminate this Order Form for convenience by providing DentalBee with 30 days advance written notice and (4) if Customer has selected an annual access to the Platform, Customer may only terminate this Order Form for convenience by providing DentalBee with written notice of termination a minimum of 30 days before the anniversary of the Effective Date of this Order Form or by cancelling their subscription through their app portal.

5. Term.
The initial term of this Order Form is 12 months beginning on the Effective Date, unless terminated at the end of the Pilot Period. This Order Form will renew for successive 1-year periods on our then-current pricing and renewal terms, unless either party notifies the other in writing of non-renewal at least 90 days before the applicable term ends.

6. Billing.
We will charge your credit card or invoice you for the subscription fees at the monthly rate shown on the first day of every month during the term.

7. Review.
All records, transcripts, and output must be reviewed and modified as appropriate by the Customer. The Platform use complex AI Technology, including machine learning to provide the services but human interaction, voicing, and language differences mean the transcript or services may not be accurate and Customer is responsible for reviewing the output of the Platform.

8. Miscellaneous.
This Order Form, together with the Agreement, is the entire agreement between the parties regarding the Platform described in this Order Form and may not be modified except by a written agreement signed by the parties. If there is an inconsistency between this Order Form and the Agreement, the Agreement will take precedence to the extent needed to resolve the inconsistency.
